These Terms of Service ("Terms") govern your access to and use of expenditure.ai and the Expenditure expense and spend management service ("Service") provided by Expenditure ("Expenditure", "we", "us"). By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization.
1. Accounts
You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your account credentials, and for all activity that occurs under your account. Notify us promptly at team@expenditure.ai if you suspect unauthorized use. You must be authorized to connect any card, bank or accounting account you add to the Service.
2. Software, not financial advice
Expenditure is software that helps you track, organize and understand your spending, and that surfaces insights, trends and alerts. The Service does not provide financial, tax, accounting, legal or investment advice. Insights are informational only and may contain inaccuracies. You are solely responsible for your own financial, tax and accounting decisions, and you should consult a qualified professional where appropriate.
3. We do not move or hold funds
Expenditure does not move, hold, transmit or custody your funds. We are not a bank, money transmitter, payment processor or financial institution. The Service connects to the cards and banks you already have. Any card issuance, payment or money-movement functionality made available through the Service is provided by a licensed banking or card partner and is subject to that partner's own terms. Expenditure is responsible only for the software it provides.
4. Acceptable use
You agree not to misuse the Service. In particular, you will not:
- Connect accounts or upload data you do not have the right to use or access.
- Reverse engineer, interfere with or disrupt the Service or its security features.
- Use the Service to violate any applicable law or the rights of others, including for fraud or money laundering.
- Attempt to gain unauthorized access to the Service, other accounts or our systems.
5. Your data and our no-sell, no-train commitments
You own your data, including your financial, expense and receipt data. You grant us the limited rights necessary to process that data solely to provide and improve the Service for you. We do not sell your data, and we do not use your financial, expense or receipt data to train shared or general-purpose AI models. These commitments are part of the Service and of these Terms, and are described further in our Privacy Policy.
6. Billing
Paid plans are billed in United States dollars (USD) according to the plan you select. Fees are charged in advance for the applicable billing period and are non-refundable except where required by law or expressly stated. We may update pricing on a going-forward basis with reasonable notice.
7. Intellectual property
Expenditure and its licensors own all rights in the Service, including its software, design and brand. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. You retain all rights in your own data and content.
8. Disclaimers
The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that insights, categorizations or reports will be error-free, and you are responsible for reviewing and verifying information before relying on it.
9. Limitation of liability
To the maximum extent permitted by law, Expenditure will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data or goodwill, arising from or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid to us for the Service in the twelve months before the event giving rise to the claim.
10. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or use the Service in a way that risks harm to Expenditure, other users or third parties. On termination, your right to use the Service ends and we will handle your data as described in our Privacy Policy.
11. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The courts located in Delaware will have jurisdiction over any dispute arising from these Terms, except where applicable law requires otherwise.
12. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the date above and, where appropriate, notify you. Your continued use of the Service after an update means you accept the revised Terms.
